Dear Investors,
Gujarat Gas Limited is undergoing a landmark corporate restructuring. Here’s everything you need to know as a shareholder.
Important Note on the Name Change
You may have seen this company referred to as “Gujarat Energy Limited” in news articles and exchange filings. The rename from Gujarat Gas Limited to Gujarat Energy Limited goes live on 1st July 2026. If you search for “Gujarat Energy Limited” on NSE or BSE right now, you will not find it — the stock still trades as Gujarat Gas Limited (GUJGASLTD) until then.
The Background: What Happened?
This is a mega restructuring involving four GSPC Group companies. The scheme involves the amalgamation of Gujarat State Petroleum Corporation (GSPC), Gujarat State Petronet Limited (GSPL), and GSPC Energy Limited into Gujarat Gas Limited, alongside the demerger of the gas transmission business into a brand new entity — GSPL Transmission Limited (GTL). The scheme became effective on May 1, 2026.
The Split: What’s Happening?
One group becomes TWO listed entities:
Company 1: Gujarat Gas Limited → Gujarat Energy Limited (GEL) — the surviving entity, renamed from July 1
- City Gas Distribution (India’s largest CGD company)
- Gas trading
- Exploration & production
- Wind power generation
- Investments in GSPC LNG, Sabarmati Gas, and more
Company 2: GSPL Transmission Limited (GTL) — the newly demerged pure-play entity
- ~2,800 km of gas pipeline network in Gujarat
- Investments in two cross-country pipelines — GSPL India Gasnet and GSPL Indian Transco
Both will operate independently with their own management, strategy, and listings.
What You Get: The Share Exchange
For every 3 shares of Gujarat Gas Limited (soon Gujarat Energy Limited) you hold on the record date, you will receive 1 share of GSPL Transmission Limited (GTL) — completely free.
Who Qualifies?
You must hold Gujarat Gas Limited shares in your demat account on or before 1st July 2026.
Real Example
| Particulars | Details |
|---|---|
| Shares held in Gujarat Gas | 300 |
| GTL shares received (1 for every 3) | 100 |
| Gujarat Gas / Gujarat Energy shares retained | 300 |
| Total positions after demerger | 2 separate listed stocks |
Key Dates at a Glance
| Event | Date |
|---|---|
| Scheme effective date | May 1, 2026 |
| Gujarat Gas renamed Gujarat Energy | July 1, 2026 |
| Eligibility cutoff (must hold by) | July 1, 2026 |
| Record date | July 2, 2026 |
| GTL listing | BSE & NSE (pending final regulatory approvals) |
| Govt. of Gujarat stake | ~56% in both GEL and GTL |
Bottom Line For You
→ The stock still trades as GUJGASLTD— search that ticker, not “Gujarat Energy,” until July 1
→ You’re not losing value — any price adjustment after the demerger is normal as the transmission business separates out
→ You get TWO companies — an integrated energy giant (GEL) and a focused pure-play gas transmission stock (GTL)
→ GTL will be one of India’s rare listed pure-play pipeline companies once it lists on BSE & NSE
→ Your holding period is preserved for tax calculation purposes
→ The Government of Gujarat will hold ~56% in both entities post-restructuring
